Purchase Terms and Conditions
PROVEEDORES INDUSTRIALES DE EQUIPOS Y REFACCIONES UNIVERSALES — PIERUSA
These Purchase Terms and Conditions govern commercial transactions with PROVEEDORES INDUSTRIALES DE EQUIPOS Y REFACCIONES UNIVERSALES, commercially identified as PIERUSA, relating to the quotation, supply, sale, import and delivery of industrial products.
Submitting a request through the website does not by itself constitute acceptance of an order or guarantee product availability. The final terms applicable to each transaction will be those stated in the applicable quotation, order confirmation, accepted purchase order or other commercial document.
1. Quotations
Quotations issued by PIERUSA are subject to the validity period stated in the quotation, product availability, manufacturer or supplier conditions, exchange rates where applicable, transportation and import costs where applicable, and any specific commercial conditions stated in the quotation.
Once a quotation has expired, pricing, availability and estimated delivery times must be reconfirmed.
2. Pricing
Prices will be stated in the currency specified in the applicable quotation. Taxes, shipping, transportation, import, handling, insurance, customs duties and other applicable charges will be identified in the corresponding quotation when applicable to the transaction.
Before final order confirmation, pricing may be adjusted due to manufacturer or supplier changes, currency fluctuations, import costs, logistics or other external conditions. In the event of an evident error in a published or quoted price, description or specification, PIERUSA may correct the information before final confirmation of the transaction.
3. Product Availability
The appearance of a product, manufacturer or brand on the website does not guarantee immediate availability. Products are subject to inventory and manufacturer or supplier availability. Certain products may require manufacturing, importation or specific procurement.
PIERUSA will confirm availability and estimated lead times during the quotation process.
4. Order Confirmation
An order will only be considered confirmed once the conditions stated in the corresponding quotation have been fulfilled. Depending on the transaction, this may require acceptance of the quotation, a purchase order, full or partial payment, manufacturer or supplier availability confirmation, acceptance of special conditions, or additional documentation.
5. Special-Order Products
Certain products may be sourced or manufactured specifically to meet a customer's requirements. Products identified as made to order, special order, special manufacturing, special import, customized, non-cancelable/non-returnable or NC/NR may be subject to restrictions regarding modification, cancellation or return.
These conditions should be communicated within the quotation or before final order confirmation.
6. Cancellations
Cancellation requests are subject to order status and the applicable manufacturer's or supplier's policies. PIERUSA does not guarantee that a confirmed order can be cancelled. An order may become non-cancelable once manufacturing has started, the product has been specifically purchased for the customer, the manufacturer or supplier has confirmed the transaction, the product has shipped, the import process has started, or the product has been classified as non-cancelable.
When a cancellation is authorized, charges imposed by manufacturers, suppliers, carriers or other involved parties may apply.
7. Delivery
Delivery times provided by PIERUSA are estimates unless expressly stated otherwise. Schedules may vary due to availability, manufacturing, manufacturer or supplier lead times, import processes, customs procedures, domestic or international transportation, weather conditions, government restrictions or circumstances reasonably outside PIERUSA's control.
PIERUSA will seek to inform the customer when it becomes aware of a material change to the estimated delivery time.
8. Receipt of Goods
Upon delivery, customers should reasonably inspect the condition and quantity of the products received. Visible damage, quantity discrepancies or evident errors should be reported to PIERUSA promptly. PIERUSA may request product and packaging photographs, order number, invoice, shipping documentation, part number and a description of the issue.
9. Warranties
Warranties applicable to products sold by PIERUSA are primarily subject to the terms established by the respective manufacturer. PIERUSA may assist customers with warranty claims; however, evaluation and approval may ultimately depend on the manufacturer or supplier.
Warranty coverage may not apply where there is evidence of improper use, incorrect installation, unauthorized modification, physical damage occurring after delivery, operation outside specified conditions, improper storage or normal wear and tear.
10. Technical Information and Product Selection
Technical data sheets, specifications, photographs, catalogs, diagrams and other product information may be provided directly by the respective manufacturers or suppliers. Customers are responsible for verifying that the requested product is suitable for their intended application, installation, dimensions, capacity, operating conditions and technical requirements.
Any commercial or technical guidance provided by PIERUSA is intended as supporting information and does not replace an engineering assessment where one is required.
11. Trademarks and Intellectual Property
All trademarks, product names, logos, models, photographs, specifications and other elements belonging to manufacturers or third parties remain the property of their respective owners.
Their appearance on PIERUSA's website, product directory, commercial materials or quotations is solely for informational and product identification purposes. The inclusion of a brand on the website does not imply ownership, exclusive representation, sponsorship or affiliation unless expressly stated otherwise.
12. Force Majeure
PIERUSA will not be responsible for delays or failure to perform resulting from circumstances reasonably outside its control, including product or material shortages, manufacturer or supplier delays, transportation problems, logistics disruptions, customs restrictions or delays, strikes, fires, floods, severe weather, epidemics or health emergencies, international conflicts, government actions or restrictions, or system or communications interruptions.
Where such circumstances occur, applicable delivery or performance schedules may be adjusted accordingly.
13. International Transactions and Imports
Certain transactions may be subject to import or export procedures, permits, tariff classification, international availability, taxes, duties, trade restrictions or other applicable requirements.
Specific conditions will be communicated when relevant to the transaction.
14. Specific Transaction Terms
Where a quotation, order confirmation or other document issued by PIERUSA establishes specific conditions for a transaction, those conditions will form part of the applicable transaction.
15. Amendments
PIERUSA may update these Purchase Terms and Conditions to reflect changes in its processes, suppliers, commercial conditions or applicable legal requirements. The current version will be available through this website.
